Terms of Use

These terms govern access to and use of Aurosource, including the Scout assistant and all related property intelligence, document processing, portfolio management and data enrichment services.

1. Introduction

These Terms of Use (“Terms”) apply to your access to and use of Aurosource, including our websites, web applications, mobile applications, APIs, dashboards, document ingestion services, property intelligence tools, AI-assisted features and related services (together, the “Service”).

The Service is operated by BTL Pro Ltd, trading as Aurosource (“Aurosource”, “we”, “us” or “our”). References to “you” or “your” mean the individual, company, partnership, landlord, agent, broker or other organisation accessing or using the Service.

By creating an account, accessing the Service, uploading content, connecting an integration, using a free or paid tier, or otherwise using Aurosource, you agree to be bound by these Terms. If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

2. Aurosource and Scout

Aurosource is the product, platform and service provider. It is the system of record, the account relationship, the contracting interface, the billing relationship and the legal provider of the Service.

Scout is an AI-powered assistant and product voice within Aurosource. Scout may help users interact with portfolio data, documents, alerts, digests, extracted information, search results, property records and other platform features.

Scout is not a separate legal entity, human advisor, regulated professional, broker, solicitor, accountant, surveyor, letting agent, financial adviser or lender. All services made available through Scout are provided by Aurosource under these Terms.

Brand distinction: Aurosource is the company and product. Scout is the correspondent and assistant through which parts of the product may speak to users.

3. Eligibility and account registration

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. You must provide accurate, current and complete account information and keep that information up to date.

You are responsible for maintaining the confidentiality and security of your login credentials, connected accounts, devices and authentication methods. You are responsible for all activity that occurs under your account, whether authorised by you or not, except to the extent caused by our breach of these Terms or applicable law.

You must notify us promptly if you suspect unauthorised access to your account, compromise of credentials, unauthorised use of your data or any security incident affecting your use of the Service.

4. Permitted use

Subject to these Terms, Aurosource grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Service for your internal property portfolio management, document organisation, property intelligence, compliance tracking, portfolio reporting and related business or personal property management purposes.

You may not use the Service for any purpose not expressly permitted by these Terms or applicable law.

Your use of the Service is limited to accessing insights, outputs and functionality provided through the platform. You are not granted any right to access or extract underlying datasets or raw third-party data.

5. User content and portfolio data

“User Content” means any data, documents, files, emails, attachments, text, images, records, property information, tenancy details, mortgage information, valuation records, compliance records, ownership information, entity information, notes, queries, prompts or other materials that you upload, submit, transmit, connect, import or otherwise make available through the Service.

You retain ownership of your User Content. These Terms do not transfer ownership of your User Content to Aurosource.

You grant Aurosource a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, analyse, classify, extract, transform, structure, transmit, display and otherwise use your User Content solely to provide, maintain, secure, support, develop and improve the Service, including to provide outputs via Scout and other platform features.

You represent and warrant that you have all rights, permissions, lawful bases and consents necessary to provide User Content to Aurosource and to allow Aurosource to process it in accordance with these Terms and our Privacy Policy.

6. Document ingestion, email connections and integrations

The Service may allow you to upload documents, bulk import files, forward emails to dedicated inbound addresses, connect email accounts, connect third-party services, import property information, use external data providers and otherwise enrich your portfolio data.

You are responsible for ensuring that any documents, emails, attachments, account connections and third-party data you provide or authorise are lawful, accurate and relevant to your permitted use of the Service.

Where you connect a third-party account, you authorise Aurosource to access, retrieve, process and store information from that account as required to provide the relevant feature. You may be able to revoke such access through the third-party provider or your Aurosource settings.

7. AI-assisted features and Scout outputs

The Service uses automated systems and AI-assisted features to classify documents, extract fields, identify properties, match records, generate summaries, answer questions, surface alerts, draft digests and provide other outputs (“Outputs”). Outputs may be delivered through Scout or other areas of the Service.

You acknowledge that AI-assisted features may produce inaccurate, incomplete, outdated, misleading or inappropriate Outputs. Outputs are provided for informational and operational assistance only and must not be treated as professional advice.

You are responsible for reviewing and verifying Outputs before relying on them, especially where decisions may have legal, tax, accounting, financial, lending, insurance, regulatory, compliance, tenancy, safety or commercial consequences.

Aurosource does not guarantee that extracted data, property matches, portfolio metrics, valuation references, debt calculations, expiry reminders, compliance alerts, search results or other Outputs will be accurate, complete or suitable for your intended purpose.

You must not use the Service, Outputs or any data obtained through the Service to create, train, fine-tune or improve any machine learning models, artificial intelligence systems or datasets without our prior written consent.

8. No professional advice

The Service is not a substitute for professional advice. Aurosource and Scout do not provide legal, tax, accounting, valuation, surveying, mortgage, lending, financial, investment, insurance, compliance, health and safety or regulated advice.

You should obtain advice from appropriately qualified professionals before making decisions based on information available through the Service.

9. Free tiers, trials, usage limits and beta features

Aurosource may offer free tiers, trials, promotional access, invite-only access, beta features or early access functionality. These may be subject to limits on usage, storage, document processing, AI queries, integrations, support, exports, data retention, number of properties, number of users or other features.

We may modify, suspend, withdraw or introduce charges for free tiers, trials, beta features or promotional features at any time, subject to applicable law and any specific written commitments we have made to you.

Beta and pre-release features may be incomplete, unstable, less secure, unsupported or changed without notice. You use beta features at your own risk.

10. Fees, billing and subscriptions

Paid features may require you to provide billing details and agree to a subscription, usage-based charge or other paid plan. Fees, payment intervals, usage allowances and renewal terms will be presented at the point of purchase or subscription.

Unless otherwise stated, fees are exclusive of VAT and other applicable taxes. You are responsible for all taxes, duties and charges arising from your use of paid features, except taxes based on our income.

We may use third-party payment processors, including Stripe, to manage payments. Your use of such payment services may be subject to the processor’s own terms and privacy notices.

11. Intellectual property

Aurosource and its licensors own all rights, title and interest in and to the Service, including all software, source code, object code, APIs, databases, schemas, workflows, prompts, orchestration logic, extraction logic, classification methods, matching methods, user interfaces, product designs, documentation, trademarks, logos, brand names, know-how, trade secrets, templates, reports, dashboards, data models, AI configurations and other intellectual property.

The names “Aurosource” and “Scout”, and all associated branding, product concepts, product language, design patterns and identity systems, are owned by Aurosource or its licensors. You may not use them except as expressly permitted by us in writing.

Except for the limited right to use the Service under these Terms, no rights are granted to you in or to the Service or any Aurosource intellectual property.

12. Restrictions on copying, reverse engineering and competitive use

You must not, and must not permit any third party to, copy, reproduce, modify, adapt, translate, scrape, crawl, harvest, mirror, frame, resell, rent, lease, sublicence, distribute, exploit, benchmark for competitive purposes, reverse engineer, decompile, disassemble or attempt to derive the source code, underlying ideas, prompts, workflows, architecture, models, schemas, extraction logic, classification logic or other non-public elements of the Service.

You must not use the Service, Scout, Outputs, extracted structures, product flows, user experience, classifications, schema patterns, prompts, workflows, benchmarks or behavioural observations to develop, train, fine-tune, improve, validate or commercialise a competing product, service, AI system, machine learning model, data processing system, document intelligence system, property intelligence system, portfolio management system or similar offering.

You must not access the Service for the purpose of monitoring availability, performance or functionality for competitive analysis, product replication or benchmarking without our prior written consent.

You must not access, extract, download, export or otherwise obtain data from the Service in bulk, whether manually or through automated means, including scraping, crawling, harvesting or use of bots, scripts or APIs not expressly provided by Aurosource.

You must not use the Service or Outputs to reconstruct, replicate or create any dataset, database or data product that is substantially similar to any underlying data made available through the Service or any third-party data provider.

13. Acceptable use

You must not use the Service in any way that is unlawful, harmful, abusive, fraudulent, deceptive, infringing, invasive of privacy, threatening, defamatory or otherwise objectionable.

You must not upload malware, attempt unauthorised access, bypass rate limits, interfere with platform security, overload infrastructure, probe vulnerabilities, exfiltrate data, access another user’s data, impersonate any person, misrepresent authority, or use the Service to send spam or unauthorised communications.

You must not upload content that you do not have the right to process or that contains special category personal data, criminal offence data, children’s data or highly sensitive personal data unless you have a lawful basis, appropriate safeguards and a genuine need to do so.

You must not attempt to bypass, disable or interfere with any technical measures implemented to control access to data, enforce usage limits or prevent bulk extraction.

14. Third-party services and data sources

The Service may include, rely on or link to third-party services, APIs, datasets, hosting providers, authentication providers, payment processors, email providers, AI providers, property data providers, analytics tools and other external services.

We do not control and are not responsible for third-party services, their availability, accuracy, security, performance, terms or privacy practices. Third-party data may be incomplete, inaccurate, delayed, unavailable or subject to licensing restrictions.

Your use of third-party data accessed via the Service is at your own risk. You are responsible for ensuring that your use, disclosure or reliance on such data complies with applicable law and any relevant third-party terms.

15A. Third-Party Data Restrictions

Certain data made available through the Service is licensed from third-party data providers.

You must not:

  • access such data outside the Service;
  • redistribute or resell such data;
  • expose such data as a standalone dataset or API; or
  • use such data to create a competing data product or service.

We may impose additional restrictions, attribution requirements or usage conditions where required by such providers.

15. Security and data protection

We implement technical and organisational measures designed to protect the Service and User Content. However, no system is completely secure, and we cannot guarantee that unauthorised access, loss, misuse or disclosure will never occur.

You must use the Service responsibly, maintain strong credentials, manage user access appropriately, promptly revoke access for users who no longer require it and notify us of suspected security issues.

Our processing of personal data is described in our Privacy Policy.

16. Confidentiality

You may receive access to non-public information about the Service, including beta functionality, product roadmap information, pricing, technical documentation, workflows, prompts, interfaces, business strategy or other confidential information. You must keep such information confidential and use it only for your permitted use of the Service.

17. Service availability and changes

We aim to provide a reliable Service but do not guarantee that the Service will be uninterrupted, error-free, secure, available at all times or free from data loss. We may modify, suspend, restrict or discontinue any part of the Service where reasonably necessary, including for maintenance, security, legal, commercial or product reasons.

18. Suspension and termination

We may suspend or terminate your access to the Service if we reasonably believe that you have breached these Terms, created security risk, infringed third-party rights, failed to pay fees, misused the Service, used the Service for competitive replication or caused risk to Aurosource, other users or third parties.

You may stop using the Service at any time. Certain provisions of these Terms will continue after termination, including those relating to intellectual property, restrictions on competitive use, confidentiality, disclaimers, limitation of liability, indemnity and governing law.

19. Data export and deletion

Export functionality, where available, may be limited, restricted or disabled in respect of certain data, including third-party data, and may be subject to aggregation, rate limits or other controls. You must not use exports to circumvent the restrictions set out in these Terms.

You may request deletion of your account or User Content. We may retain certain information where required or permitted by law, for legitimate business purposes, security, audit, dispute resolution, fraud prevention, backups or compliance with legal obligations.

20. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, representations, conditions and guarantees, whether express, implied, statutory or otherwise, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, availability, security and error-free operation.

21. Limitation of liability

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to the previous sentence, Aurosource will not be liable for any indirect, consequential, special, incidental, punitive or exemplary damages, loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss or corruption of data, business interruption, or decisions made in reliance on the Service or Outputs.

Subject to applicable law, our total aggregate liability arising out of or in connection with the Service and these Terms will not exceed the greater of: (a) the amount paid by you to Aurosource for the Service in the 12 months before the event giving rise to liability; or (b) £100 where you use only a free tier.

22. Indemnity

You agree to indemnify and hold harmless Aurosource, its directors, officers, employees, contractors and affiliates from and against claims, losses, damages, liabilities, costs and expenses arising from your breach of these Terms, unlawful use of the Service, infringement of third-party rights, misuse of User Content, unauthorised access caused by your failure to secure credentials, or use of the Service to develop or improve a competing product.

23. Changes to these Terms

We may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify you, such as by email, in-app notice or publication on our website. Continued use of the Service after changes take effect means you accept the updated Terms.

24. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter or formation are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where applicable consumer law requires otherwise.
